Consentivo Terms of Service

These Terms of Service ("Terms") govern your access to and use of Consentivo (the "Service"), provided by Filova Ltd, a company registered in England and Wales, company number 17263134, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Filova", "we", "us", "our"). These Terms become binding on the Customer once accepted as described in Section 1.

Governing law: England and Wales.

1. Parties, Eligibility and Acceptance

These Terms form a binding agreement between Filova and the Customer.

The Service is offered for business use only. The Customer must be a company, another organization, or a sole trader or professional acting in the course of its business, trade or profession. Consentivo is not offered to consumers and must not be used for personal, family or household purposes. By accepting these Terms, the Customer confirms it is acting in a business capacity and that the individual accepting is authorized to bind it.

Consentivo is currently provided as a controlled beta. During this beta, our commercial focus is business customers established in the United Kingdom and Türkiye, but the Service is not limited to those jurisdictions. We make no representation as to the Service's suitability, legal compliance or availability for a Customer established elsewhere, and that Customer remains responsible for confirming the Service meets its own applicable requirements before relying on it.

Creating a Consentivo account does not, by itself, bind the Customer to these Terms. The Customer becomes bound when its organization's owner explicitly accepts the current Terms of Service and Privacy Policy through the Service's legal-acceptance flow — recorded against that organization — or when an authorized signatory accepts an order form referencing these Terms, whichever is first.

2. Data Processing Agreement

Where Filova processes personal data on the Customer's behalf in providing the Service, it does so as the Customer's processor. Our standard Data Processing Agreement (the "DPA"), published at consentivo.com/en/legal/dpa, forms part of these Terms and applies automatically to that processing.

Accepting these Terms under Section 1 therefore also accepts the DPA. No separate signature is required for the standard online relationship, and the DPA is fully effective without one.

Where the parties expressly agree a separately executed data processing agreement or an order form addressing the same subject matter, that document supplements these Terms and, to the extent of any conflict, prevails over the standard DPA.

3. Service Description

Consentivo is a cloud-based cookie-consent management platform: it displays a configurable consent banner to a Customer's website visitors, records their consent decisions, and — where the cookie-scanning feature is enabled for the Customer's account — scans the Customer's website for cookies and trackers. The Service is provided "as is" and "as available" — we do not guarantee uninterrupted or error-free operation, and using Consentivo does not by itself guarantee legal compliance; the Customer remains responsible for configuring the Service correctly and for its own compliance obligations under GDPR, UK GDPR, KVKK, CCPA and any other law applicable to it.

Because the Service is in controlled beta, features may be added, changed, limited or withdrawn, and availability of any individual feature is not guaranteed.

4. Accounts and Responsibilities

The Customer is responsible for maintaining the confidentiality of its account credentials and for all activity under its account. The Customer must provide accurate registration information and keep it up to date. The Customer is responsible for ensuring its own use of the Service, and the content of its consent banner, complies with applicable law in the jurisdictions where its website operates.

5. Plans, Fees and Billing

During the controlled beta the Service is provided free of charge. Billing is not enabled, no payment method is requested, no charges are collected, and no paid subscription is sold or in force. There is accordingly no recurring charge, no automatic renewal, and no paid subscription to cancel.

Any plans, prices, usage limits or paid features described on consentivo.com are non-binding previews of a possible future commercial offering. They may change or be withdrawn at any time and create no entitlement or obligation for either party.

Before billing is enabled, Filova will publish binding payment, renewal, cancellation and refund terms — together with the identity of the payment provider — and will obtain the Customer's acceptance of those terms before any charge is made. Until then, our Refund Policy (consentivo.com/en/legal/refund-policy) records that no paid transactions exist.

The Customer may stop using the Service at any time. Because the beta is free, doing so has no financial effect.

6. Acceptable Use

You must not use the Service to: violate any applicable law or regulation; deploy a consent banner that misrepresents the choices actually available to end visitors or that is designed to obtain consent through dark patterns; attempt to access another Customer's account or data without authorization; interfere with or disrupt the Service's infrastructure; or reverse-engineer the Service beyond what applicable law permits.

7. Intellectual Property

Filova and its licensors own all rights in the Service, including its software, branding, and design. The Customer retains all rights in its own website content, cookie/consent data, and any content it configures within the Service. Filova processes the Customer's data only to provide the Service, as further described in the Privacy Policy and in the DPA incorporated under Section 2.

8. Limitation of Liability

To the maximum extent permitted by law, Filova's total liability arising out of or related to these Terms or the Service is limited to the greater of (a) the amount the Customer paid Filova in the 12 months preceding the claim and (b) GBP 100. Filova is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data.

Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

9. Termination and Return of Customer Data

Either party may terminate the agreement at any time on notice to the other. Filova may suspend or terminate an account that breaches Section 6.

Return or export of Customer data. Consentivo does not currently provide a self-service export feature, and no particular export format is offered. During the controlled beta, a verified Customer request for the return or export of the Customer data held for it is handled manually by Filova, subject to verification of identity and authority, our security requirements, applicable law, and the terms of this agreement. The Customer can also view its consent records within the product for as long as its account is active.

Consent records. Consent evidence is held on an append-only basis during the term: it is protected against modification and against deletion through the ordinary application, so that it remains reliable evidence of the consent decisions actually collected. That protection does not override the end-of-contract and legal-obligation duties set out in the DPA — following termination, and on the Customer's documented instruction, consent records are returned or deleted through a restricted internal process, except where applicable law requires continued storage. Retention while the agreement is in force is described in the Privacy Policy (consentivo.com/en/legal/privacy-policy) and in the DPA.

10. Governing Law and Jurisdiction

These Terms are governed by the law of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute. Nothing in this Section affects any mandatory provision of the law of the Customer's own country of establishment that applies notwithstanding this choice of law.

11. Changes to these Terms

We may update these Terms from time to time. Changes are published on this page with an updated "Last updated" date; for material changes, we will notify account holders by email. Where a change is material, the Customer's organization owner is asked to accept the updated Terms through the Service's legal-acceptance flow.

12. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party infrastructure the Service depends on (such as Supabase or Vercel), natural disasters, or government action.

13. Indemnification

The Customer agrees to indemnify Filova against claims arising from the Customer's use of the Service, its violation of these Terms, or its infringement of a third party's rights through its use of the Service. Filova agrees to indemnify the Customer against third-party intellectual-property infringement claims concerning the unmodified Service.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

15. Assignment

Filova may assign these Terms in connection with a merger, acquisition, or sale of assets. The Customer may not assign these Terms without Filova's prior written consent.

16. Entire Agreement

These Terms, together with the Privacy Policy, the DPA incorporated under Section 2 (or any separately executed data processing agreement), and any order form, constitute the entire agreement between the parties regarding the Service, superseding any prior agreements on the same subject.
